Complete legal terms governing shipments, liability, and services provided by Best Roadways Limited.
1. Definitions
"Services" refers to all freight, logistics, warehousing, and transportation services provided by Best Roadways Limited.
"Shipper" means the person, business, or entity that contracts Best Roadways to transport goods.
"Consignee" means the person or entity to whom the goods are to be delivered.
"Goods" refers to all cargo, merchandise, and items shipped through Best Roadways services.
"Agreement" includes these Terms & Conditions, any quotation, invoice, and all communications between Best Roadways and the Shipper.
2. Services
2.1 Scope of Services
Best Roadways provides freight and logistics services including but not limited to:
- Full Truck Load (FTL) transportation
- Part Truck Load (PTL) and consolidated shipments
- Warehousing and distribution
- Chemical and hazardous materials logistics (PESO certified)
- Port operations and CFS services
- Real-time GPS tracking
- Customs clearance and documentation assistance
2.2 Service Standards
Best Roadways commits to:
- Timely pickup and delivery as per agreed schedules
- Professional handling of goods in accordance with industry standards
- Real-time tracking and communication
- Compliance with applicable laws and regulations
- Safety and security protocols for all shipments
2.3 Service Limitations
Best Roadways reserves the right to:
- Refuse shipments that violate legal or safety requirements
- Modify service routes, schedules, or modes due to circumstances beyond reasonable control (weather, traffic, natural disasters, strikes)
- Inspect goods to verify contents match declarations
- Delay or refuse services to non-compliant shippers
3. Shipper Responsibilities
3.1 Accurate Information
The Shipper guarantees that all information provided is accurate, complete, and truthful, including:
- Cargo description, weight, dimensions, and value
- Pickup and delivery addresses
- Contact information
- Special handling requirements
- Any hazardous material declarations (if applicable)
Inaccurate information may result in delays, additional charges, or claims denial.
3.2 Proper Packing
The Shipper is responsible for adequate packing and preparation of goods to withstand normal transportation conditions. Best Roadways is not liable for damage due to inadequate packing, unless explicitly accepted in writing as a Best Roadways service.
3.3 Compliance with Laws
The Shipper warrants that:
- All goods are lawfully owned and possessed
- Transportation complies with all applicable laws
- No prohibited, stolen, or counterfeit items are included
- All required documentation (GST, e-way bills, licenses) is provided
3.4 Hazardous Materials Disclosure
If goods are hazardous, the Shipper must:
- Clearly declare the hazardous nature
- Provide Safety Data Sheets (SDS)
- Ensure compliance with PESO and regulatory requirements
- Pay any additional hazmat handling fees
Misrepresentation of hazardous goods is a serious violation and may result in legal action.
4. Pricing & Payment
4.1 Quotation and Invoice
Best Roadways provides quotations based on information provided by the Shipper. Quotations are valid for 7 days unless otherwise stated. All rates are in Indian Rupees (₹) unless specified otherwise.
4.2 Charges Included
Standard rates include:
- Transportation charges
- Basic handling and loading/unloading at terminals
- GST (if applicable)
- Standard documentation processing
4.3 Additional Charges
Additional charges apply for:
- Hazmat certification and handling
- Special equipment (tankers, refrigerated vehicles, high-cube containers)
- Customer-requested delays or hold-ups
- Detention charges (if vehicle held for loading/unloading beyond agreed time)
- Port demurrage, customs clearance assistance (import/export)
- Special packaging or materials
- Insurance premium (optional)
All additional charges must be clearly stated in the quotation and invoice.
4.4 Payment Terms
- Payment due upon invoice unless credit facility is extended (subject to approval)
- Accepted methods: Bank transfer, cheque, cash, online payment gateways
- Late payment interest: 1.5% per month on outstanding balance
- No cargo will be released until payment is received (unless credit arrangement exists)
4.5 Price Changes
Best Roadways reserves the right to adjust rates due to fuel surcharges, toll changes, or regulatory changes. Current rates are always available on request.
5. Liability & Claims
5.1 Limitation of Liability
Best Roadways' liability is limited to the lesser of:
- Actual value of the cargo (as declared by Shipper)
- ₹200 per kg of goods (industry standard unless higher insurance is purchased)
- Applicable insurance coverage
Important: Best Roadways is NOT liable for loss or damage if higher value goods are transported without declaring the actual value or purchasing additional insurance coverage.
5.2 Exclusions from Liability
Best Roadways is NOT liable for:
- Loss or damage due to shipper's inadequate packing
- Loss or damage due to natural disasters, acts of God, war, terrorism, strikes, or civil unrest
- Loss or damage due to shipper's incorrect information or instructions
- Delay in delivery caused by circumstances beyond reasonable control (weather, traffic, accidents, government orders)
- Theft or loss during shipper-arranged side movements or transfers
- Damage to goods due to inherent nature (perishables, fragile items without proper packing)
- Consequential damages, loss of profits, or business interruption
- Indirect damages (lost sales, lost customers, business closure)
5.3 Claims Procedure
To file a damage or loss claim:
- Notification: Report damage/loss within 48 hours of delivery (or discovery)
- Documentation: Provide original invoice, delivery receipt, photographs of damage, and detailed description
- Inspection: Best Roadways may request inspection by independent surveyor (cost shared)
- Timeline: Claims must be filed within 30 days of delivery; claims filed after 30 days are not eligible
- Settlement: Approved claims are settled within 45 days
5.4 Delayed Delivery Claims
For delay claims on scheduled routes:
- Delays of 24+ hours beyond committed ETA may be eligible for compensation per contract terms
- Compensation is NOT applicable if delay is due to shipper-provided incorrect information or circumstances beyond reasonable control
- Maximum compensation: 10% of transportation charges for that shipment
6. Insurance
6.1 Standard Coverage
All shipments include basic cargo insurance coverage as per the rates. This covers accidental damage from normal transportation risks.
6.2 Additional Insurance
For high-value shipments, customers may purchase extended insurance coverage. Premium is additional to freight charges and is calculated based on declared value.
6.3 Insurance Conditions
Insurance does NOT cover:
- Loss due to shipper's inadequate packing
- Loss due to shipper's failure to disclose hazardous nature of goods
- Loss during shipper-arranged movements or transfers
- Wear and tear, or normal depreciation
7. Cancellation & Modifications
7.1 Booking Cancellation
- Before dispatch: Full refund of freight charges
- After dispatch: 50% of freight charges applies (vehicle cannot be diverted)
- After delivery has started: No refund applicable
7.2 Address or Consignee Changes
- Before pickup: Free change
- After pickup, before dispatch: Free change (if same destination area)
- After dispatch: Additional charges apply if new destination is significantly different
7.3 Rescheduling
Shipments can be rescheduled to later dates at no additional charge, subject to availability. Rescheduling requests must be made 24 hours in advance.
8. Hazardous Materials
8.1 PESO Compliance
All hazardous material transport must comply with Petroleum & Explosives Safety Organisation (PESO) regulations. Best Roadways is PESO-certified for hazmat transportation.
8.2 Shipper Obligations
For hazmat shipments, the Shipper must:
- Declare the hazardous nature clearly
- Provide complete Safety Data Sheets (SDS)
- Ensure proper packaging and labeling per PESO standards
- Provide hazmat certificates (if required)
- Ensure e-way bills explicitly mention hazardous classification
8.3 Additional Hazmat Fees
Hazmat transportation incurs additional charges for:
- Specialized vehicle deployment
- Driver training and certification
- Compliance documentation
- Insurance premium
8.4 Misrepresentation Consequences
Misrepresenting goods as non-hazardous when they are hazardous is a serious violation. Best Roadways reserves the right to:
- Refuse future services to the Shipper
- Claim reimbursement for any regulatory fines or penalties
- Report to authorities for regulatory violations
- Pursue legal action for damages
9. Dispute Resolution
9.1 Escalation Process
In case of disputes:
- Step 1: Contact Best Roadways customer service with details (email: mumbai@bestroadways.com)
- Step 2: Best Roadways investigates and responds within 7 business days
- Step 3: If unresolved, escalate to management for review
- Step 4: If still unresolved, proceed to arbitration or legal action
9.2 Governing Law
These Terms & Conditions are governed by the laws of India, specifically the Indian Contract Act, 1872, and all applicable transportation and logistics laws.
9.3 Jurisdiction
All disputes shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
9.4 Arbitration
For any dispute, either party may opt for binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitrator shall be mutually agreed upon by both parties.
10. Privacy & Data
10.1 Data Collection
Best Roadways collects personal and business information necessary to process shipments, including:
- Names, contact information, addresses
- Payment details
- Cargo descriptions
- Location data (via GPS tracking)
10.2 Data Usage
Your data is used for:
- Processing and tracking shipments
- Billing and invoice generation
- Customer communication
- Analytics and service improvement
- Compliance with legal and regulatory requirements
10.3 Data Protection
Best Roadways follows industry-standard security practices to protect your data. We do not share your information with third parties without your consent, except as required by law.
10.4 Tracking Data
GPS tracking data is accessible only to authorized Best Roadways personnel and the Shipper. Tracking data is retained for 24 months for audit purposes and then deleted.
11. General Terms
11.1 Entire Agreement
These Terms & Conditions, along with any quotation, invoice, and written communications, constitute the entire agreement between Best Roadways and the Shipper.
11.2 Amendments
Best Roadways may amend these Terms & Conditions at any time. Changes are effective immediately and will be communicated via website update. Continued use of services implies acceptance of updated terms.
11.3 Severability
If any term is found invalid or unenforceable, that term will be modified to the minimum extent necessary to make it enforceable, and all other terms remain in effect.
11.4 Waiver
The failure of Best Roadways to enforce any right or provision does not constitute a waiver of that right or provision.
11.5 Independent Contractors
Best Roadways and Shipper are independent parties. No partnership, employment, or agency relationship exists between them.
11.6 Third-Party Beneficiaries
The Consignee and third parties have no rights under these Terms & Conditions unless explicitly agreed in writing.
